这其中，又以尽调最为核心、最为实用，前能承接搜集的数据加以总结，后能开启行研分析。
岗位1：尽职调查
尽调按照目的分主要有两种类型:
一种是以“投资”为目的的尽调，PEVC更关注公司的业务经营；
一种是以“上市”为目的的尽调，券商，或者其他大型基金。前者更侧重“业务”，后者更侧重“合规”。
尽职调查这项业务涉及到诸多金融子模块：券商/PEVC/四大/咨询类公司等。
任何一家企业只要想做大、只要想上市，就必须接受尽职调查。如果你会做尽调，就意味着：
1. 你有进入券商、PEVC的基本功
2. 你有能力参与重要项目的全程，有机会近距离接触公司核心业务
3. 在同等条件下，你更容易获得晋升和涨薪
4. 你有领导团队的潜质，带项目指日可待
5. 你熟悉财务/法律知识，是一个多面手，更受领导青睐。
尽调是如此重要的一项实务技能，但是学校/职场却没有人教，这实在是金融人的一大痛处。

很多同学都会在简历上写尽职调查（Due Diligence），但你真的知道尽调在调查什么吗？
什么是尽职调查？
尽职调查简称尽调。指在收购过程中收购者对目标公司的资产和负债情况、经营和财务情况、法律关系以及目标企业所面临的机会与潜在的风险进行的一系列调查。
尽调是企业收购兼并程序中最重要的环节之一，也是收购运作过程中重要的风险防范工具。
调查过程中通常利用管理、财务、税务方面的专业经验与专家资源，形成独立观点，用以评价并购优劣，作为管理层决策支持。
调查不仅限于审查历史的财务状况，更着重于协助并购方合理地预期未来，也发生于风险投资和企业公开上市前期工作中。从买方的角度来说，尽职调查也就是风险管理。
尽职调查一般包括哪些问题？
尽职调查分3个部分：
* 法律DD
* 业务DD
* 财务DD
法律DD
主要从法律层面对公司资质、架构、相关人员等进行调查，证明公司经营合法合规，“身家清白” 。
业务DD
是由VC的投资经理等亲自做的，DD清单将问及一切可能和公司业务相关的问题，且因公司而异。
财务DD
理论上会由聘请的会计师事务所完成，但如果公司是很早期、轻资产、没收入的典型互联网公司，可能不会请专门的会计师事务所来做，只是简单的把三张财务报表和所有单据过一遍。
实习生尽调过程中到底要做些什么？

整理工作底稿和提补充资料清单：
这个是基本功也是必修课，虽然看起来并不高大上。
撰写申报材料：
最主要的就是撰写招股说明书（二十万字）了，实习过程特别能得到锻炼的机会。
财务核查：
这一块实习生只是有空时就去帮下忙。有事务所经验的同学会有更多机会接触，因为需要做大量的测试和抽凭。
尽职调查：
去尽调做几周的项目会有很大的收获，因为你能在短时间内对一个企业所处的行业、业务模式以及存在的问题提出一份尽职调查报告，这也确实是很有意思和挑战的。
走访和访谈：
走访和访谈有助与了解事务所对接的业务，也是networking的好机会。
在尽调团队实习，实地参与各项业务，对于在校生是一个巨大的成长机会，尤其是四大的平台。

工作内容：
1. 通过电话及邮件联系客户，安排面谈事宜
2. 协助尽职调查专员管理以及维护客户面谈日程记录，对相关工作文件进行整理及存档

Duration: a minimum 3-month of paid internship
Responsibilities:
- In partner with Industry Consultant to complete business analysis or reports, take part in the detailed work such as data reading, analysis, charting and report writing.
- Participate in the series of specific research projects
- Collect, manage and analyze information of multiple resources.
- Be accountable for data check to make sure accuracy
Qualifications:
